These Terms and Conditions govern all use of the Sanzo Sales website located at https://www.sanzosales.com, and all commercial transactions conducted through or in connection with Sanzo Sales LLC. By accessing this website or placing an order with Sanzo Sales, you agree to be bound by these Terms and Conditions in their entirety. If you do not agree, do not use this website or place orders with us.
These Terms and Conditions apply to all customers, visitors, and parties who interact with Sanzo Sales in any commercial capacity. They should be read in conjunction with our Returns & Refunds Policy and any product-specific documentation provided at the time of quotation or order.
Part 1 — Website Terms
Agreement to Terms
By accessing and using this website, you confirm that you are at least 18 years of age, have the legal authority to enter into binding agreements, and accept these Terms and Conditions without modification. Sanzo Sales reserves the right to update or revise these terms at any time without prior notice. Continued use of the website following any modification constitutes your acceptance of the revised terms.
Intellectual Property & License
All content on this website, including but not limited to text, graphics, logos, product descriptions, images, and documentation, is the property of Sanzo Sales LLC or its content suppliers and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use this website for lawful personal or commercial inquiry purposes only.

Part 2 — General Commercial Terms
The following terms apply to all orders placed with Sanzo Sales unless otherwise specified in a separate written agreement or product-specific documentation provided at the time of quotation.
Entire Agreement & Order of Precedence
These Terms and Conditions, together with any written quotation, order acknowledgment, or product-specific documentation issued by Sanzo Sales, constitute the entire agreement between the parties with respect to the subject matter of the order. They supersede all prior negotiations, representations, or agreements, whether written or oral.
Any purchase order, confirmation, or other document submitted by the customer that contains terms additional to or different from these Terms and Conditions is hereby rejected. Such additional or different terms shall not become part of the agreement unless expressly agreed to in writing by an authorized representative of Sanzo Sales. The commencement of order fulfillment does not constitute acceptance of any customer-submitted terms.
In the event of a conflict between these Terms and Conditions and a separately executed written agreement signed by both parties, the separately executed agreement shall control.
Orders & Acceptance
All orders are subject to acceptance by Sanzo Sales. Submission of a purchase order, payment of a deposit, or other indication of intent to purchase does not constitute a binding contract until Sanzo Sales has issued a written order acknowledgment or otherwise confirmed acceptance. Sanzo Sales reserves the right to decline any order at its discretion.
Order specifications, quantities, and configurations are fixed at the time of order acceptance. Any subsequent changes requested by the customer are subject to the change request terms applicable to the product category ordered.
Pricing & Price Escalation
Quoted prices are valid for the period stated on the quotation. If no validity period is stated, quotes are valid for 30 days from the date of issue. Sanzo Sales reserves the right to adjust pricing after the validity period has lapsed or in response to significant changes in material costs, labor costs, tariffs, or supply chain conditions that occur between the date of quotation and the date of order fulfillment.
For long lead-time and custom-build orders, material cost escalation clauses may apply and will be disclosed at the time of quotation. Price adjustments resulting from customer-initiated changes to an order specification are not subject to the original quoted price.
All prices are exclusive of applicable taxes, duties, and freight unless expressly stated otherwise in writing.
Payment Terms & Default
Payment terms are as specified on the quotation or order acknowledgment. For standard in-stock orders, payment is due prior to shipment unless credit terms have been separately established in writing. For custom and specialty orders, milestone payment schedules apply as outlined in the relevant product section of these Terms and Conditions or in the project-specific quotation.
All payments must be made via ACH or wire transfer unless an alternative method has been approved in writing. Deposits are non-refundable under all circumstances.
If a customer fails to make any payment when due, Sanzo Sales reserves the right to: suspend production or shipment of the order; assess interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower; require full prepayment of any outstanding or future orders; and pursue all available legal remedies for collection. A customer's failure to pay does not relieve them of any obligation under these Terms and Conditions.
Credit Approval
Sanzo Sales reserves the right to require prepayment or satisfactory credit references before accepting any order. Approval of credit terms on one order does not obligate Sanzo Sales to extend credit on future orders. Credit terms may be modified or revoked at any time at Sanzo Sales's sole discretion.
Taxes
The customer is solely responsible for all sales taxes, use taxes, value-added taxes, import duties, customs fees, and any other governmental charges applicable to the purchase, delivery, or use of products ordered from Sanzo Sales. Where Sanzo Sales is required by law to collect and remit tax, the applicable tax will be added to the invoice. Customers claiming tax exemption must provide a valid exemption certificate at the time of order.
Product Specifications & Images
Our catalog includes many custom-built and made-to-order products. In some cases, product images are renderings or representative photos that may not reflect the exact physical configuration of a completed build. This is particularly common for transformers, power distribution systems, control systems, light towers, and other configurable products.
All products are built to the written specification listed — not to any image shown. An image approximation does not constitute grounds for a return or dispute. If you have questions about the appearance or configuration of a product, please ask before placing your order.
Dimensional Variations
In response to ongoing supply chain conditions, some products may be manufactured using available materials that meet the required electrical specifications but differ from original dimensional specifications. This applies particularly to transformers, phase converters, and various enclosure types. Sanzo Sales prioritizes functional and electrical accuracy in all builds. Dimensional variation within reasonable tolerances does not constitute grounds for a return, claim, or price adjustment.
Acceptance of Goods
Upon delivery, the customer is responsible for inspecting all goods promptly and thoroughly. Goods shall be deemed accepted and conforming if the customer does not provide written notice of non-conformance to Sanzo Sales within three business days of delivery. Acceptance of a delivery without written objection within this window constitutes the customer's acknowledgment that the goods conform to the order specification.
Signing a Bill of Lading or delivery receipt without noting visible damage constitutes acceptance of the shipment in the condition received. Customers who accept freight without notating damage on the BOL waive their right to file damage claims with the carrier. See the Damaged Shipments section below for full details.
Damaged Shipments & Freight Responsibility
Sanzo Sales photographs and video documents every order prior to carrier pickup, establishing a verified record of condition at the time of handoff to the carrier.
For freight and pallet shipments: if the customer or their receiving personnel sign a Bill of Lading without noting visible damage, the customer accepts full responsibility for that damage. Once signed without exception, carriers will not entertain damage claims and will attribute all damage to the receiver. Upon delivery, customers should either reject visibly damaged shipments or clearly note all damage on the BOL before signing. We understand that not all receiving operations inspect freight at the point of delivery — however, failure to note damage forfeits the ability to file a carrier claim.
Shortage Claims
Any discrepancy between goods delivered and the packing list must be reported to Sanzo Sales in writing within one to three business days of receipt. We retain shipment documentation including photographs and video for approximately twelve months, subject to storage availability. Claims submitted outside this window will not be accepted.
Shipping Address Errors
The customer is responsible for providing accurate and complete shipping address information at the time of order. Any carrier redirect fees, redelivery charges, or additional freight costs resulting from an inaccurate or incomplete address are the sole responsibility of the customer.
Freight & Shipping Cost Estimates
Shipping costs displayed on the website are calculated for small package shipments and may not accurately reflect costs for large items, pallet freight, or truckload shipments. High-quantity orders of smaller items may also result in inaccurate calculated shipping estimates. Customers ordering large or heavy equipment are encouraged to request a freight quote prior to completing their purchase. Sanzo Sales reserves the right to collect additional shipping charges prior to dispatch where estimated costs are materially insufficient.
Order Cancellations — Standard Products
All cancellation requests must be submitted in writing. Cancellations received at least three business days prior to the scheduled ship date will be reviewed for approval. Cancellations received after this window, or after production has commenced, are subject to cancellation fees based on the stage of completion at the time the request is received.
Cancellation fees reflect the investment of materials, labor, and time committed to the order and may range up to 100% of the order value. Fees are not dependent on original estimated delivery dates. Deposits are non-refundable under all circumstances.
For orders requiring prepayment — including international, specialty, and complex build orders — cancellation will result in a deduction from the prepaid amount. The deduction percentage is at Sanzo Sales's discretion but typically ranges from 30% to 50% depending on the stage of order preparation.
Repairs
If a product is returned to Sanzo Sales for evaluation and repair and the customer declines the quoted repair cost, the customer is responsible for all return shipping charges to have the item sent back. Sanzo Sales will not retain products for which repair has been declined beyond 30 days without written instruction from the customer.
Limitation of Liability
To the fullest extent permitted by applicable law, Sanzo Sales's total liability to the customer for any claim arising out of or related to any order, product, or service shall not exceed the total purchase price paid by the customer for the specific product or service giving rise to the claim.
In no event shall Sanzo Sales be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, production downtime, loss of use, or costs of substitute equipment, regardless of whether such damages were foreseeable or whether Sanzo Sales had been advised of the possibility of such damages.
These limitations apply regardless of the legal theory under which a claim is brought, including contract, tort, strict liability, or otherwise.
Warranty Disclaimer — General Products
Except as expressly stated in a product-specific warranty provided with an order, all products are sold as-is. To the fullest extent permitted by law, Sanzo Sales disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. No warranty is extended by product descriptions, images, or representative specifications on this website.
Warranty claims, where applicable, are subject to the conditions set forth in the product documentation provided at the time of sale.
Indemnification
The customer agrees to indemnify, defend, and hold harmless Sanzo Sales LLC, its officers, employees, agents, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to: the customer's misuse, improper installation, or unauthorized modification of any product purchased from Sanzo Sales; the customer's failure to follow applicable installation, maintenance, or safety standards; any third-party claim arising from the customer's use or resale of products purchased from Sanzo Sales; or any breach of these Terms and Conditions by the customer.
Waiver & Severability
Failure by Sanzo Sales to enforce any provision of these Terms and Conditions on any occasion does not constitute a waiver of the right to enforce that provision on any future occasion. No waiver of any breach is effective unless made in writing by an authorized representative of Sanzo Sales.
If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
Part 3 — Specialty & Medium Voltage Equipment
The following terms apply to all orders for specialty, custom-engineered, and medium voltage equipment supplied by Sanzo Sales. This category includes, but is not limited to, liquid filled transformers, medium voltage dry type transformers, medium voltage disconnect switches, and low and medium voltage custom switchgear assemblies. Any product that is engineered to order, built to customer specification, or classified as medium voltage equipment falls within this category, regardless of whether it is specifically named above.
Products in this category are not eligible for return under any circumstances. These terms supplement and, where applicable, supersede the general commercial terms in Part 2 for orders in this category.
What Your Order Covers
All equipment is built in accordance with the specification sheet and supporting documents provided at the time of quotation. Any item, service, or scope of work not explicitly referenced in those documents is outside the agreement and will be quoted and invoiced separately.
Our responsibility under these orders is limited to the engineering design, manufacturing, and delivery of equipment as specified. Where applicable, components shipped in disassembled condition — such as radiators, conservators, bus sections, or ancillary accessories — must be assembled at the customer's site by the buyer. All such activities must follow the supplied operation and maintenance manual and applicable ANSI, IEEE, NEC, and IEC standards.
Production & Delivery Process
Lead times vary based on product type, complexity, and order-specific requirements. A confirmed timeline will be provided at the time of quotation. The general production process follows this sequence:
Technical drawings are submitted for buyer review and approval after receipt of the initial deposit and an executed purchase order. Manufacturing begins upon receipt of the subsequent payment installment, approved technical drawings, and manufacturing clearance — whichever of these occurs last. Once manufacturing is complete, a Factory Acceptance Test (FAT) is conducted and inspection reports are issued for buyer review. Final payment and dispatch clearance must be received before the unit is released for shipment. Transit begins after factory dispatch.
Any change to the confirmed specification, delay in drawing approval, or delay in issuing dispatch clearance after FAT will impact the overall delivery schedule. Estimated timelines provided at quotation are not binding when delays are buyer-initiated. Expedite options may be available upon request.
Repeat orders that do not require new engineering drawings or design revisions may qualify for a reduced lead time compared to first-time builds.
If a completed unit is held at the factory pending buyer-issued dispatch clearance and the buyer delays beyond the clearance window, demurrage charges of 0.5% per week of the outstanding order value will apply.
Right to Suspend Production
If a customer fails to provide timely drawing approvals, payment installments, or dispatch clearance as required under the production schedule, Sanzo Sales reserves the right to suspend production without such suspension constituting a breach of contract. Production will resume upon receipt of the outstanding requirement. Any costs associated with production suspension, storage, or schedule disruption resulting from buyer delays may be assessed to the customer.
Design Changes & Revisions
Change requests are evaluated based on where the order stands in the production process at the time the request is received. Changes submitted before the initial deposit incur no additional cost but will affect production scheduling. Changes submitted after the deposit but before drawing acceptance will be reviewed and may result in additional costs, with each revision potentially adding one to two weeks to the schedule. Changes submitted after drawing acceptance will incur additional costs and may add two to four weeks per revision.
Order Cancellation — Specialty Equipment
All cancellations must be submitted in writing. Cancellation fees are assessed based on the production stage at the time the request is received. All initial deposits are non-refundable regardless of when cancellation is submitted. The following fee schedule applies:
Within 15 days of purchase order — 25% of PO value
Within 45 days of PO (or prior to approved drawing submittal, whichever comes first) — 40% of PO value
Within 60 days of PO (or prior to material procurement, whichever comes first) — 60% of PO value
Within 75 days of PO (or after materials have been received, whichever comes first) — 80% of PO value
Within 90 days of PO — 100% of PO value
All initial deposits are non-refundable regardless of cancellation timing.
Warranty — Specialty Equipment
Equipment in this category is warranted against defects in design, materials, and workmanship for 18 months from the date of energization or commissioning, or 24 months from the date of dispatch, whichever occurs first. Extended warranty coverage is available at an additional cost of 5% of the order value per year beyond the standard warranty period.
Warranty coverage remains valid only when all installation, commissioning, and periodic maintenance is performed in accordance with applicable ANSI, IEEE, NEC, and IEC guidelines. Warranty coverage is voided by unauthorized modifications or repairs to the equipment, unauthorized interconnection with third-party equipment, or improper installation or commissioning by the buyer or their contractors.
If a unit must be returned to our facility for warranty evaluation or repair, all costs associated with loading, transport, and logistics to our location are the buyer's responsibility. We will supply any required replacement components; however, transportation of parts or personnel and any site-related accommodation costs remain the buyer's responsibility.
Transit Insurance
Procurement of adequate transit insurance is the buyer's responsibility. Damage claims resulting from mishandling during unloading or improper on-site storage will not be accepted. Where damage is identified upon delivery, a joint inspection will be conducted to assess the cause and extent. Repair work will not proceed until the buyer has provided written approval of the repair scope and associated costs.
Transportation, Unloading & Site Handling
Freight charges provided at the time of order are estimates. Final costs will be confirmed prior to dispatch and any adjustments collected before shipment is released. All on-site transportation, positioning, and handling of equipment after delivery is entirely the buyer's responsibility. Specialized lifting or rigging equipment may be required and should be arranged in advance. If delivery cannot be completed on the first attempt due to the buyer's inability to unload, redelivery fees will apply. All materials must be handled in strict accordance with the packing list.
Part 4 — Government & Government-Funded Projects
Sanzo Sales supplies products to commercial customers, prime contractors, and end users on government-funded, military, and federally regulated projects. The following terms apply to all orders where the end use involves a government entity, government-funded project, or federal contract, whether Sanzo Sales is contracting directly with a government agency or supplying a prime contractor or subcontractor on such a project.
Flow-Down Compliance
Where Sanzo Sales is supplying products as part of a prime contractor's government contract, and where the prime contractor is obligated to flow down Federal Acquisition Regulation (FAR) or Defense Federal Acquisition Regulation Supplement (DFARS) clauses to its supply chain, Sanzo Sales agrees to comply with all applicable flow-down provisions as required by federal law and as identified in writing by the prime contractor at the time of order.
Customers with government contract flow-down obligations must identify those obligations in writing at the time of purchase order submission. Flow-down clauses not disclosed prior to order acceptance may not be incorporated retroactively without written agreement by Sanzo Sales.
Buy American Act & Domestic Content
Sanzo Sales is aware of the requirements of the Buy American Act and related domestic content regulations applicable to products supplied for government use. Where an order involves a government-funded project subject to domestic content requirements, the customer is responsible for identifying those requirements to Sanzo Sales at the time of quotation. Sanzo Sales will make reasonable efforts to identify and disclose the country of origin and component sourcing for products where domestic content certifications are required. Customers are responsible for determining whether products meet applicable domestic content thresholds for their specific contract requirements.
DFARS Specialty Metals
For orders where the end use is a Department of Defense application, customers are responsible for notifying Sanzo Sales of any DFARS specialty metals compliance requirements (DFARS 252.225-7014) prior to quotation. Sanzo Sales will make reasonable efforts to source compliant materials when given adequate notice, but cannot guarantee specialty metals compliance for orders where this requirement is not disclosed in advance.
NDAA Section 889 Compliance
Sanzo Sales does not knowingly incorporate telecommunications or video surveillance equipment or services produced by entities covered under Section 889 of the National Defense Authorization Act for Fiscal Year 2019 into products supplied for government end use. Customers with NDAA Section 889 compliance obligations should notify Sanzo Sales at the time of order, and Sanzo Sales will cooperate in providing available documentation to support compliance verification.
Equal Opportunity & Labor Standards
To the extent required by applicable federal contracting regulations, Sanzo Sales complies with the requirements of Executive Order 11246 as amended, the Rehabilitation Act of 1973 as amended, the Vietnam Era Veterans' Readjustment Assistance Act of 1974 as amended, and Executive Order 13496 relating to employee rights under federal labor laws. Sanzo Sales certifies that products supplied hereunder are produced in compliance with all applicable requirements of the Fair Labor Standards Act.
Government Contract Terms — Order of Precedence
Where a conflict exists between these Terms and Conditions and mandatory requirements imposed by federal law or regulation applicable to a specific government contract, the mandatory federal requirements shall control only to the extent required by law. All other provisions of these Terms and Conditions remain in full force and effect.
Part 5 — Legal Terms
Governing Law & Venue
These Terms and Conditions and all transactions governed by them shall be construed, interpreted, and enforced in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. The exclusive venue for any legal proceeding arising out of or related to these Terms and Conditions or any order placed with Sanzo Sales shall be a County Court or State Court of competent jurisdiction located in Kaufman County, Texas. Both parties consent to personal jurisdiction in such courts.
Waiver of Jury Trial
To the fullest extent permitted by law, the customer expressly waives any right to a jury trial in connection with any dispute arising out of or related to these Terms and Conditions or any transaction with Sanzo Sales. All such disputes shall be resolved by a court of competent jurisdiction sitting without a jury in Kaufman County, Texas.
Waiver of Deceptive Trade Practices Act
The customer waives any and all rights and claims it may have against Sanzo Sales under Chapter 17 of the Texas Business and Commerce Code (Deceptive Trade Practices — Consumer Protection Act).
Attorney Fees & Costs
In the event of any legal dispute between the customer and Sanzo Sales, the prevailing party shall be entitled to recover its reasonable and necessary attorney fees and costs of court as determined by a court of competent jurisdiction in Kaufman County, Texas.
Force Majeure
Neither party shall be held liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquakes, pandemics, epidemics, war, acts of terrorism, civil unrest, riots, strikes, labor disputes, government actions, supply chain disruptions, raw material shortages, or transportation failures. In the event of a force majeure condition, Sanzo Sales shall be excused from performance obligations under any active purchase order or agreement for the duration of the condition and shall notify the customer as soon as reasonably practicable.
Pandemic and public health events, including COVID-19 and any future public health emergencies, are expressly recognized as force majeure events. Where such conditions directly or indirectly affect Sanzo Sales's operations, those of its suppliers, or the movement of goods, Sanzo Sales is entitled to appropriate time extensions or contract adjustments. Any known impact will be communicated to the customer as soon as it is identified.
Force majeure conditions do not excuse the customer's obligation to make payments already due.
Confidentiality
Any proprietary specifications, design documents, drawings, pricing, or technical information shared between the parties in connection with a quotation or order shall be treated as confidential and shall not be disclosed to third parties without the disclosing party's prior written consent, except as required by law. This obligation survives the completion or termination of any order.
